a) Legal Representation of Brazilian Subsidiaries

We act as the deputy manager (administrador) and attorney-in-fact (procurador) for share-holders of Brazilian subsidiaries and in doing so have full responsibility for the company.

b) Start-Up Activities of Brazilian Subsidiaries

We coordinate all necessary steps to organize Brazilian subsidiaries. We continuously liaise with the following service providers:

  • Lawyers for legal advice on drafting and executing articles of incorporation, contracts with third parties and registration of capital stock and intercompany loans with the Central Bank of Brazil;
  • Filing agents to secure the necessary local, state and federal enrollments as well as INSS (social security) and FGTS (unemployment benefit) registrations;
  • Bookkeeping and auditing services, such as interim balance sheets, income statements, tax related issues, human resources and payroll related services;
  • Bank officials for help with banking requirements such as opening bank accounts, internet banking, working capital issues and loans;
  • Insurance brokerage;
  • Human resources – executive search and personnel selection;
  • Arquitects and interior design specialists for choice of site and office space;
  • Custom clearance and forwarding agents to promote the “Radar” registration, Brazil’s official import permit;
  • Other outsourced services.

c) Independent Corporate – and Financial Management and Control

Generally speaking, companies from overseas wishing to establish a company in Brazil may require in the start-up phase a lean operational structure.

The company’s most important short term goal will be to evidence its commercial feasibility in Brazil. Thus, the most significant share of its initial investment will be allocated to hiring a local commercial manager.

It is our conviction that a Brazilian citizen with sales-experience in the area would ideally have the commercial responsibility of the company.

All other managerial tasks of the company can be executed and coordinated by BrazilBizz.
